Should NDAs have a time limit?

Most agreements that I see (if they have a term) have a time limit of two to five years. But your NDA also needs to say that, even if the term is ended, the disclosing party isn’t giving up any other rights that it may have under copyright, patent, or other intellectual property laws.

What should be included in NDA?

Typical NDA clauses include the following:

  1. Definition of Confidential Information.
  2. Explanation of Purpose for Disclosure.
  3. The Parties to the Agreement.
  4. Disclosure.
  5. No Disclosure.
  6. No Use.
  7. Exclusions from Confidential Information or Limits on Information Deemed Confidential.
  8. Obligations of Receiving Party.

Are NDAs enforceable for illegal activity?

If a contract is specifically about something illegal, that contract cannot be enforced. As such, any contract that involves illegal activities, including the NDA clause of that contract, would not stop someone from testifying about the illegal conduct covered in that contract.

Yes, unless specified otherwise, you can share that you signed an NDA. You however can not share whatever the NDA is in regards to.

How long do NDAs last?

Every NDA is unique so each one will last a different amount of time. Common timeframes range between one year to 10 years, however, depending on the information that is to be kept private, an NDA may be indefinite.

Can NDAs last forever?

And while every non-disclosure agreement is as unique as the parties and the agreement involved, terms of 1 – 10 years are standard, with the duration of confidentiality lasting indefinitely on trade secrets and as long as possible (or as is necessary) for other forms of IP.

As such, an NDA protects non-public business information. Like all contracts, they cannot be enforced if the contracted activities are illegal.
